Agreement to Terms
By engaging A Plus Solutions Ltd ("we", "us", "our") for any service or by using our website, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services or website.
These Terms apply to all clients, visitors, and anyone who accesses or uses our services. They should be read alongside our Privacy Policy and any service-specific engagement letter or proposal you receive from us.
Our Services
A Plus Solutions Ltd provides professional consultancy services including but not limited to:
- Malta company formation and corporate structuring
- Business banking account setup and introduction services
- Residency, relocation, and immigration assistance
- Tax advisory and compliance guidance
- Human resources management, payroll, and employment contracts
- Education advisory for international schools in Malta
We act as advisors and coordinators. We are not a law firm and do not provide regulated legal advice. Where legal representation is required, we will refer you to appropriate licensed professionals in Malta.
Specific deliverables, timelines, and fees for each engagement are set out in the engagement letter or service proposal provided to you prior to commencement of work.
Client Responsibilities
To enable us to deliver services effectively and within the timeframes agreed, you agree to:
- Provide accurate, complete, and up-to-date information and documentation when requested
- Notify us promptly of any changes to your situation that may affect the service being delivered
- Respond to communications and requests for information in a timely manner
- Use our services only for lawful purposes and in compliance with applicable Maltese, EU, and international law
Delays in providing required information or documents may result in extended timelines for which we cannot be held responsible.
Fees & Payment
Our fees are set out in the service proposal or engagement letter provided to you. Unless otherwise stated:
- Invoices are payable within 14 days of issue
- Government fees, registration costs, and third-party disbursements are charged at cost and may be invoiced separately
- A deposit may be required before work commences on certain services
- Fees are quoted exclusive of any applicable VAT
Late payment may result in suspension of services and may attract interest at the rate applicable under Maltese law. We reserve the right to adjust our fees for ongoing services with 30 days' written notice.
Confidentiality
We treat all client information as strictly confidential. We will not disclose your information to any third party except:
- Where required by Maltese or EU law, regulation, or court order
- To Maltese government authorities as part of delivering your requested service
- To professional partners directly involved in your matter, under equivalent confidentiality obligations
- With your explicit written consent
This obligation of confidentiality survives the termination of our engagement and applies to all staff and contractors of A Plus Solutions Ltd.
Intellectual Property
All content on our website including text, design, graphics, and code is the property of A Plus Solutions Ltd and is protected by copyright and other intellectual property laws.
Documents, reports, and deliverables we prepare specifically for you as part of a paid engagement become your property upon receipt of full payment. Template documents and methodologies remain our intellectual property.
You may not reproduce, republish, or distribute any content from our website without prior written consent.
Limitation of Liability
We provide our services with reasonable care and professional diligence. However, to the fullest extent permitted by Maltese law:
- We are not liable for any indirect, incidental, or consequential losses arising from our services or your use of our website
- Our total liability in connection with any service is limited to the fees paid by you for that specific service
- We are not responsible for outcomes determined by third parties, including Maltese government authorities, banks, or regulators
- We make no guarantee that any application, registration, or approval will be granted by the relevant authority
Nothing in these Terms excludes liability for fraud, gross negligence, or any other liability that cannot be excluded by law.
Termination
Either party may terminate an ongoing engagement with 30 days' written notice. Upon termination:
- You remain liable for all fees for work completed up to the termination date
- Any government applications already submitted on your behalf will continue to their conclusion unless you instruct otherwise in writing
- We will return or destroy your documents and data in accordance with our Privacy Policy and applicable law
We reserve the right to terminate immediately and without notice if you breach these Terms, fail to make payment, or engage in unlawful conduct.
Governing Law
These Terms of Service are governed by the laws of Malta. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Malta.
If any provision of these Terms is found to be invalid or unenforceable under applicable law, the remaining provisions shall continue in full force and effect.
Amendments
We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated date. For active engagements, material changes will be communicated directly to affected clients with reasonable notice.
